What Is Shareholder Buy Sell Insurance?

Shareholder Protection Insurance is designed to give your business a clear succession plan should a shareholder become totally and permanently injured, terminally ill, or die. Each shareholder is insured for the value of their shares and supported by a buy/sell agreement.

This allows ownership to transfer smoothly to the remaining shareholders—without the need for loans or asset sales—while providing a fair cash payout to the departing shareholder or their estate. The result is business continuity, retained control, and peace of mind for shareholders, staff, and creditors.

Is Shareholder Buy Sell Right For Me?

Shareholder Buy-Sell insurance is ideally suited to privately held companies with a small number of shareholders, typically two to five, where each shareholder holds a material, illiquid stake and is also actively involved in running the business.

It works best where the business has a stable, assessable value, such as an established trade business or professional practice in law, accounting, or medicine, and where the remaining shareholders would genuinely want to acquire the departing party’s shares rather than wind up the company or seek outside capital.
